What is this program?

A continuous business intake for in-silico drug inventions. When you submit, you assign your Invention to VivaMed for a 90-day exclusive evaluation period (approximately 3 months), subject to automatic reversion if VivaMed does not pursue. If we license or sell IP derived from your submission, you will receive 10% of Total Deal Revenue, capped at $1,000,000, per our Program Rules. If we don't file a patent or execute a license/LOI within the Evaluation Period, Patent Rights will automatically revert to you, subject to our Program Rules. This is not a sweepstakes or contest.

Who can participate?

Anyone 18+, in an eligible jurisdiction, sole inventor only, with no conflicting IP obligations (or with uploaded waivers), and willing to allow VivaMed to retain Submission Data for model training and aggregation even if Patent Rights revert.

Is there a fee?

No. Participation is free.

How many submissions can I make?

Multiple submissions are allowed, but each must be separate and complete.

How does the $1,000,000 cap work?

If a qualifying deal occurs, you will receive 10% of Total Deal Revenue from any licensing/sale of Derived IP until your cumulative payouts reach $1,000,000, per our Program Rules. (Note: The payment is 10% when a deal occurs, not "up to 10%". Variability comes from deal size and the $1M cap.)

Examples: $5M deal → $500k; $10M deal → $1M (cap); $50M deal → $1M (cap). No deal means $0. Most submissions do not result in payment.

When do I get paid?

Within 30 days after VivaMed receives consideration from a qualifying license/sale, subject to required tax/withholding.

What counts as "Total Deal Revenue"?

Upfronts, milestones, running royalty payments, sublicense income, equity (at FMV), and other consideration from licensing/sale of Derived IP, as defined in our Program Rules. Does not include reimbursement of VivaMed's out-of-pocket patent, validation, or diligence costs.

Do I need wet-lab data?

No. We accept in-silico work.

Can I use AI?

Yes, with full disclosure (tools/models, prompts/outputs, provenance) and proof of human inventive contribution. AI cannot be an inventor under U.S. patent law.

Do I still own my idea after I click Submit?

You assign all right, title, and interest in your Invention to VivaMed for a 90-day exclusive evaluation period (approximately 3 months). This assignment is subject to automatic reversion: if VivaMed does not file a patent or execute a license/LOI within 90 days (or extended period for documented negotiations), Patent Rights will automatically revert to you, per our Program Rules. You are then free to pursue the idea elsewhere. However, VivaMed retains a perpetual license to Submission Data (code, notebooks, analysis) for internal model training and aggregation, regardless of the IP outcome.

What is the Reversion Policy?

If VivaMed does not file a patent application or execute a license/letter of intent within 90 days, ownership of the Patent Rights will automatically revert to you, subject to our Program Rules.

Extension for Documented Negotiations: If VivaMed has received a written term sheet, documented diligence request with evidence of meetings, or bona fide written offer by day 90, the period extends up to 60 additional days (max 150 days total). You will receive written status updates at 90 and 120 days if extension applies.

If we filed any provisional applications, we will reasonably cooperate in assigning them back to you (at your expense for future prosecution). The Data License to VivaMed remains in effect permanently.

Will VivaMed keep my data even if Patent Rights revert to me?

Yes. By submitting, you grant VivaMed a perpetual, irrevocable license to Submission Data (code, notebooks, computational outputs, documentation) for internal use, model training, and aggregation, regardless of whether the Patent Rights are returned to you. This Data License, combined with evaluation services and commercial opportunity, is the consideration for this agreement. VivaMed will not sell Enabling Details of your specific invention externally before patent filing, but may use data in aggregated/anonymized forms and share with partners under NDA.

Will my submission be kept confidential?

Yes. We maintain confidentiality during the Evaluation Period and will not publicly disclose Enabling Details before patent filing. We may share with employees/contractors/partners under confidentiality obligations for evaluation purposes. We will not sell Enabling Details externally until after a patent is filed (to protect patentability), but may distribute aggregated/anonymized datasets and trained models.

Can I file my own patent?

During the 90-day exclusive evaluation period (and any extension for documented negotiations), VivaMed holds the Patent Rights and you agree not to file competing applications. If Patent Rights revert to you after the Evaluation Period expires, you are free to file your own patent applications.

How long does evaluation take?

Initial review 1-2 weeks; deep evaluation 2-4 weeks. VivaMed has 90 days to file a patent or execute a license/LOI. If we have documented active negotiations (written term sheet, diligence request with evidence of meetings, or bona fide offer) at day 90, the period extends up to 60 additional days, with a hard cap of 150 days total.

Outside the U.S.?

Yes, if you are not in a sanctioned jurisdiction and can provide W-8 documentation.

What submissions are NOT accepted?

We do not accept: ideas containing PHI/PII; select agents/toxins or EAR/ITAR-controlled materials; previously published work with enabling detail; unverifiable "black-box" claims; team submissions (must be sole inventor); and ideas where you are unwilling to allow VivaMed to retain Submission Data for internal model training and aggregation, even if Patent Rights revert to you.
