VivaMed Biopharma Inc ("VivaMed," "we," "us," or "our") respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you participate in the VivaMed Drug Invention Submission Program (the "Program").

Submission Data vs Personal Information. Upon submission, you grant VivaMed a perpetual license to Submission Data (technical content, models, code, results, documentation) while maintaining ownership of the underlying Patent Rights subject to the Evaluation Period. Personal information (e.g., your contact details) is processed under this Policy.

2. Information We Collect

Submission Data (Licensed to VivaMed)

Technical content, models/weights, code, results, documentation, claims, prompts/outputs, and related materials you upload. You grant VivaMed a perpetual, irrevocable license to this data as described in the Program Rules.

Note: Do not include PHI/PII unless expressly requested; de-identify all human data.

Personal Information

When you submit to the Program, we collect:

  • Contact information (name, email, phone number, address)
  • Professional information (organization, employer, university affiliation)
  • LinkedIn profile or website URL
  • Country and state/province of residence
  • Tax identification information (if you receive compensation)

Usage Information

We automatically collect certain information when you use our website:

  • IP address and device information
  • Browser type and version
  • Pages visited and time spent on pages
  • Referring website addresses
  • Cookies and similar tracking technologies

3. How We Use Your Information

We commercialize Submission data (including by sale, license, and sublicense) and may combine it with other data sets. Personal information is used to operate the Program, for compliance, payments, and communications.

We use the information we collect to:

  • Evaluate and review your submission
  • Communicate with you about your submission status
  • Conduct technical and commercial assessments
  • Perform prior art searches and patent analysis
  • Process payments if your submission is selected and commercialized
  • Comply with legal obligations and tax reporting requirements
  • Improve the Program and our services
  • Prevent fraud and ensure Program integrity
  • Enforce our Terms of Service and Program Rules

4. How We Share Your Information

Submission data: May be shared/sold/licensed to partners, licensees, and purchasers.

Personal information: Shared with processors and partners under confidentiality and only as permitted by law.

With Service Providers

We may share your information with third-party service providers who assist us with evaluation, patent analysis, legal services, payment processing, and other business operations. These providers are contractually obligated to maintain confidentiality.

With Potential Partners

We may share your submission with potential licensing partners, investors, or acquirers under appropriate confidentiality agreements for the purpose of commercializing selected inventions.

For Legal Compliance

We may disclose your information when required by law or to:

  • Comply with legal processes or government requests
  • Enforce our Terms of Service and Program Rules
  • Protect our rights, property, or safety
  • Prevent fraud or illegal activities
  • Comply with tax reporting obligations

Business Transfers

If VivaMed is involved in a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction. We will notify you of any such change in ownership or control.

5. Data Security

We implement appropriate technical and organizational measures to protect your information against unauthorized access, alteration, disclosure, or destruction. These measures include:

  • Secure storage of GitHub repositories and uploaded files

However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to protect your information, we cannot guarantee absolute security.

  • Evaluate your submission and communicate results
  • Fulfill our contractual obligations if your submission is selected
  • Comply with legal, tax, and accounting requirements
  • Resolve disputes and enforce our agreements
  • Maintain records for patent prosecution and IP management

For Submissions not selected, we may retain Submission data in our owned repositories consistent with IP ownership and commercialization rights stated in the Terms.

7. Your Rights and Choices

Access and Correction

You may request access to or correction of your personal information by contacting us at nharris@vivamed.com.

Withdrawal

You may withdraw your submission at any time before assignment by contacting nharris@vivamed.com. However, we may retain certain information as required by law or for legitimate business purposes.

If we sell or share your personal information (we do not intend to do so for marketing; operational analytics may qualify as "share" under CPRA), you may exercise your "Do Not Sell or Share" rights; we honor Global Privacy Control signals.

For Submission data, ownership has transferred to VivaMed; your deletion/access rights apply to personal information only.

Marketing Communications

You may opt out of receiving promotional emails by following the unsubscribe instructions in those emails. You cannot opt out of service-related communications about your submission.

Cookies

Most web browsers allow you to control cookies through settings. However, disabling cookies may limit your ability to use certain features of our website.

8. International Data Transfers

Your information may be transferred to and processed in the United States or other countries where VivaMed or its service providers operate. These countries may have data protection laws different from your country of residence. By participating in the Program, you consent to such transfers.

For personal information from the EEA/UK, we use SCCs/IDTA and lawful bases (contract, legitimate interests, consent where applicable).

9. Children's Privacy

The Program is not intended for individuals under 18 years of age. We do not knowingly collect personal information from children. If you believe we have collected information from a child, please contact us immediately.

10. Third-Party Links

Our website may contain links to third-party websites (such as GitHub). We are not responsible for the privacy practices of these external sites. We encourage you to review their privacy policies.

11. California Privacy Rights

If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA), including:

  • Right to request deletion of your personal information
  • Right to opt out of the sale of personal information (we do not sell personal information)

Our lawful bases for processing include: contract (operate program), legitimate interests (security/fraud/analytics), consent (marketing, if any).

We may update this Privacy Policy from time to time. We will notify you of material changes by posting the new policy on this page and updating the "Effective Date." Your continued participation in the Program after changes constitutes acceptance of the updated policy.
