VivaMed Drug Invention Submission Program Rules (Summary)

Assignment Subject to Reversion: When you submit, you assign all right, title, and interest in your Invention to VivaMed for evaluation purposes. This assignment is subject to automatic reversion if VivaMed does not pursue commercialization. VivaMed has an exclusive evaluation period of 90 days (approximately 3 months).

Success or Reversion: If VivaMed files a patent application or executes a license/LOI within 90 days, VivaMed manages the IP strategy and you may receive 10% of Total Deal Revenue (capped at $1,000,000). If VivaMed does not take one of these actions within 90 days, Patent Rights will automatically revert to you. Most submissions do not result in payment.

Extension for Documented Negotiations: If VivaMed has received a written term sheet, documented diligence request with evidence of meetings, or bona fide written offer by day 90, the period extends up to 60 additional days (max 150 days total). You will receive written status updates.

Data License (Survives Reversion): VivaMed retains a perpetual, irrevocable right to your Submission Data (code, notebooks, analysis, documentation) regardless of IP outcome. This includes rights to use for model training, aggregated datasets, and internal R&D. VivaMed will not sell Enabling Details of your specific invention externally before patent filing, but may use data in aggregated/anonymized forms and share with partners under NDA.

Eligibility: You must be 18+, sole inventor, with no conflicting IP obligations (or have waivers). You must not be subject to sanctions or export controls.

Requirements: Original, unpublished computational/in-silico work. Full AI disclosure required (tools, prompts, human contribution). No select agents, toxins, or controlled materials.

Compensation (If Deal Occurs): 10% of Total Deal Revenue (upfronts, milestones, royalties, equity FMV, sublicense income), capped at $1,000,000 aggregate. Paid within 30 days of VivaMed receiving consideration. No upfront payment. Payment only if VivaMed licenses or sells Derived IP. Most submissions receive $0.
